GoNativ Terms of Use
These Terms of Use (the “Terms”) govern the access and use of the GoNativ site, its application and associated services (collectively the “Services”), operated by StaffNation/nativ, doing business under the name “GoNativ”. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately stop using the site or the Services.
1. About GoNativ
GoNativ is a human and technological ecosystem that aims to redefine the relationship between talent and businesses. Our mission is to foster collaborations based on trust, transparency, growth and long-term impact. Our platform allows the creation of talent profiles, the publication and management of missions, communication between users and the facilitation of payments related to projects. GoNativ acts as a networking and management intermediary, but is neither the employer of talent nor the agent of companies.
2. Acceptance of the Conditions
By accessing the Site or using our Services, you acknowledge that you have read, understood and accepted these Terms in their entirety. You also represent that you are of legal age to contract in your province or territory of residence, or use our Services with the authorization of your legal representative. Continued use of the Services after any modification of the Terms constitutes acceptance of the new provisions.
3. Accounts and security
Some Services require the creation of an account. You must provide accurate, complete, and up-to-date information when registering and ensure that it is updated on a regular basis. You are responsible for maintaining the confidentiality of your identifiers and for all activities carried out under your account. In case of unauthorized use, you must inform GoNativ without delay. GoNativ reserves the right to suspend or delete an account if it compromises security or violates these Terms.
4. Profiles, missions and communication
Talents are committed to creating a truthful profile that accurately reflects their skills, experience, availability, and prices. For their part, companies publish missions that must be clear, accurate and in accordance with Canadian legislation, in particular with respect to employment, equity and non-discrimination. Communications between users must remain respectful, professional and in accordance with applicable laws. Any dissemination of discriminatory, defamatory, abusive, abusive, obscene, hateful, fraudulent, or harassing content is strictly prohibited.
5. GoNativ's role and responsibilities
GoNativ acts as a platform for networking and technological support. Unless explicitly stated otherwise in a contract, GoNativ is not a party to agreements concluded directly between talents and companies. We do not guarantee the conclusion of an assignment, the conformity of the profiles or the quality of the service provided. Users remain solely responsible for the commitments they make, the content they produce and the execution of their missions.
6. Payments, fees and taxes
The financial terms associated with an assignment are specified at the time of acceptance or in the applicable policies. Payments can be facilitated by GoNativ, which then acts as a billing or transfer intermediary. Applicable service fees and commissions are clearly stated prior to any transaction. Depending on the territory, federal and provincial taxes (GST, HST, TVQ or others) may apply. In the event of a dispute, refund or suspicion of fraud, GoNativ reserves the right to adjust or withhold the amounts concerned until the dispute is resolved.
7. Audits and evaluations
GoNativ can perform some basic checks, in particular to ensure the consistency of profile information. These verifications do not have certification value. Users can provide reviews or comments, which should remain constructive, honest, and in accordance with the law. GoNativ may moderate or remove any content deemed inappropriate, offensive, or unethical on the platform.
8. Intellectual property
All the constituent elements of the GoNativ platform, including texts, logos, brands, brands, interfaces, databases, software and visuals, are protected by copyright and intellectual property laws. Their use without written permission from GoNativ is strictly prohibited. You maintain ownership of the content you produce or submit on the platform, but you grant GoNativ a worldwide, non-exclusive, transferable, and free license to host, use, adapt, and deliver such content as part of the normal functioning of the Services.
9. Acceptable use
You must use GoNativ in accordance with its professional vocation and the law. It is forbidden to impersonate another person or organization, to disseminate inaccurate information, to manipulate the system, to harm other users, or to use the platform for illegal or deceptive purposes. Any attempt at unauthorized access, security circumvention, massive data extraction, or commercial exploitation without prior written consent is prohibited.
10. Confidentiality and protection of personal information
Use of the Services is governed by our Privacy Policy, which describes in detail how we collect, use, and protect your personal information. GoNativ is committed to complying with applicable Canadian laws, in particular PIPEDA and Quebec's Bill 25. By using the Services, you are accepting the practices described in this Policy.
11. Status of the parties and legal compliance
Unless explicitly stated otherwise, GoNativ does not act as an employer. Companies remain solely responsible for the correct qualification of employment or service relationships and for compliance with applicable labor, fiscal and social laws. Talents are themselves responsible for their professional and fiscal obligations. GoNativ assumes no responsibility for classification errors or reporting omissions.
12. Guarantees, limits and indemnification
GoNativ Services are provided “as is” and “as available.” We do not guarantee the absence of errors or the uninterrupted performance of the platform. To the extent permitted by law, all implied warranties, including those of merchantability or fitness for a particular purpose, are excluded. GoNativ cannot be held responsible for indirect, incidental, punitive or intangible damages, such as loss of profits, opportunities or data. In any event, GoNativ's maximum liability will not exceed the total amount of fees paid by the user during the three months preceding the event in question. You agree to indemnify and hold GoNativ, its employees and partners harmless from any claims arising from your use of the service, your content, or any violation of the Terms.
13. Force majeure
GoNativ cannot be held responsible for any breach resulting from an event beyond its control, in particular a network outage, a computer attack, a natural disaster, a strike, a war, or any other unforeseeable circumstance preventing the normal performance of its obligations.
14. Suspension, Termination, and Deleting Content
GoNativ may suspend or terminate an account at any time, with or without notice, in the event of a violation of the Terms, a security risk, suspected fraud, or upon legal request. We may also remove content that is not in accordance with our policies, the law, or the general interest of the community.
15. Changes to the Terms and Services
GoNativ reserves the right to update or modify its Services and these Terms at any time, to take into account technical, legislative or strategic changes. The new versions will take effect as soon as they are published on the Site. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
16. Communications and notifications
By creating an account on GoNativ, you agree to receive electronic communications related to the management of your profile, missions, security or the evolution of the Services. These communications may be sent to you by email, embedded message, or other reasonable means.
17. Transfer and validity
You may not assign or transfer your rights and obligations under these Terms without GoNativ's written consent. However, GoNativ may transfer its rights or obligations as part of a merger, acquisition, or internal reorganization. If any provision of the Terms is found to be invalid or unenforceable, the other provisions remain in full force and effect. The fact that GoNativ does not exercise a right does not constitute a waiver of that right.
18. Applicable law and jurisdiction
These Terms are governed by the laws of the province of Quebec and by the applicable federal laws of Canada. Any dispute will be subject to the exclusive jurisdiction of the courts of the judicial district of Montreal, unless otherwise required by law. The parties will always prefer an amicable resolution before any legal proceedings.
